Wisext is
operated by an individual:
Olivier Lesage.
In this
document, Wisext may be referred to as ‘we’ or ‘us’.
Written
communication is preferred. You can contact Wisext via its contact form (see https://www.wisext.com/contact). Wisext may then provide its users with a
direct email address to facilitate communication. Email addresses are not
included in this document to limit access by spam bots.
Wisext
supports the use of the user’s preferred language. Wisext strives to maintain
updated versions of its website and tools in English (EN), French (FR), Dutch
(NL), German (DE) and Spanish (ES). Additional languages may be added depending
on Wisext’s resources.
However,
the availability of tools and texts in multiple languages is not contractual.
In case of limited resources, Wisext may revert to providing tools and
documentation only in English.
You may
contact Wisext in any language that can be reasonably translated by current
AI-based automatic translators. Wisext may respond in your language using such
translations. Please note that translation errors may occur, and Wisext cannot
be held liable for inaccuracies caused by automated translation.
For voice
or phone conversations, Wisext can communicate in English, French, and Dutch.

of this document
The English
version of these Terms and Conditions shall prevail and be considered the
official and binding text for all purposes, regardless of any translations or
interpretations into other languages. Any translations of these Terms and
Conditions, Privacy Policy, or related documents are provided solely for
informational purposes. In the event of any discrepancy or conflict between a
translated version and the English version, the English version shall prevail
and be considered the official and binding text.
Users are
completely free to express positive or negative opinions about Wisext tools and
services. However, all communication must remain decent, respectful, and
polite.
Any
gratuitous attacks, insults, or abusive language directed at Wisext or other
users may result in temporary or permanent suspension of access to the software
and related services, at Wisext’s sole discretion.
Wisext
reserves the right to take appropriate action to maintain a constructive and
respectful environment.
Wisext
authorises the creation, without prior request, of surface links that refer to
the site's home page or any other page in its entirety.
However,
the use of any techniques designed to include all or part of this site in a
website by masking, even partially, the exact origin of the information or
which could cause confusion as to the origin of the information, such as
framing or in-lining, requires the prior written authorisation of Wisext.
Wisext
keeps its Terms And conditions and Private Policy privacy policy under regular
review and places any updates on www.wisext.com.
This document
will be governed by and construed in accordance with the laws of Belgium. All
disputes arising in connection with the document for which no amicable
settlement can be found shall be finally settled by the Courts of Belgium in
Nivelles.
By
downloading, installing, using, transmitting, distributing or copying the Wisext
Tools, you agree to the terms of this Agreement (including the disclaimer of
warranty) with Wisext the owner of all rights in respect of the Wisext Tools.
If you do
not agree to any of the terms of this license then do not download, install,
use, transmit, distribute or copy the Wisext Tools.
This
document constitutes a license to use the Wisext Tools on the terms and
conditions appearing below.
This End
User License Agreement ("Agreement") is between Wisext (Lesage
Olivier), located at 1348 Louvain-la-Neuve, Belgium and the customer
(individual or entity) that has downloaded or otherwise procured the licensed
Software (as defined below) for use as an end user ("you").
This
agreement applies to all the applications or software extensions developed by Wisext.
They are
referred to here as Wisext Tools. However, this agreement also covers any
software developed by Wisext that does not belong to a suite called ‘Wisext
Tools’.
Wisext
reserves all rights not expressly granted to you. All rights of any kind in the
Wisext Tools which are not expressly granted in this Agreement are entirely and
exclusively reserved to and by Wisext.
All rights
to use the Licensed Wisext Tools are granted on condition that such rights are
forfeited for failure to comply with the terms of this Agreement. The License
will terminate automatically without notice from Wisext if you fail to comply
with any provision of this License.
The
licensee declares to know and accept the Wisext privacy policy.
The
Licensed Wisext Tools, including any copies made by or for Licensee, in whole
or in part, are the sole property of Wisext. All intellectual property
rights in the Licensed Wisext Tools belong exclusively to Wisext. Wisext shall
retain all title, copyright and other intellectual property rights in the
Licensed Wisext Tools and all modifications, enhancements or other works
derivative of the Licensed Wisext Tools.
Licensee
recognizes that methodologies, techniques, expressions, ideas and concepts
contained in or expressed within the Licensed Wisext Tools are proprietary
information and may be trade secrets of Wisext or its licensor.
You may not
duplicate, copy, or reuse any portion of the code or visual design elements,
without express written permission from Wisext.
You must
request permission to use the Wisext’s logos or any Service logos for
promotional purposes. Please email us requests to use logos. We reserve the
right to rescind any permissions if you violate these Terms.
The user
also accepts that Wisext Tools may display information or advertisements
related to the Wisext Tools, without the option to skip them before they
conclude.
Wisext
primarily develops and maintains tools for the current version of SketchUp on
Windows. By ‘current version’, we mean the version currently distributed by
SketchUp or the version that is being replaced by a new version, when that new
version is within its first three months of official distribution.
When
SketchUp releases a new version, Wisext has three months to adapt the tools to
this new version. Licensees may be asked not to upgrade to the new version of
SketchUp immediately if they wish to keep the Wisext Tools operational.
Wisext
tries to maintain the functionality of its tools with versions of SketchUp
prior to the current one. However, Wisext does not guarantee that Wisext Tools
will work on previous versions or that all features will work on versions prior
to the current one. For example, it is known that the menu headers in the ‘Find
And Report’ window on SketchUp 2017 are not fixed when scrolling vertically.
Wisext
tools do not work on versions prior to SketchUp 2017.
Wisext
develops tools primarily for Windows. However, testing and adaptations are
regularly carried out to ensure compatibility with Mac. On Mac, certain
features are not available due to technical limitations. For example, direct
control of Microsoft Excel via SketchUp is not possible, and data is exported
via an external file.
To
facilitate the user experience, certain features of Wisext Tools interact
directly with Microsoft Excel to import or export data. This interaction
depends on features related to Windows, Microsoft Excel and Microsoft Office.
Wisext cannot guarantee that these features will be maintained over time by
Microsoft and is not responsible if they disappear. However, it will always be
possible to export or import data in a csv or equivalent format.
Technical
support can be divided into:

Support
for Tool Operability (ensuring the tools can run on the licensee’s computer(s))
·
Support
for Tool Usage (assisting with how to use the tools)
Wisext is
not obligated to respond to questions or comments regarding free tools but will
try to assist you within the limits of its available resources. Users are
encouraged to report issues to help improve these tools. Any free assistance
provided by Wisext does not create any commitment for future free support.
Wisext
gives priority to questions related to the proper operability of the tools on
the licensee’s computer(s). Free installation of the tools allows users to try
them.
If an
installation problem occurs, Wisext will make every effort, within the limits
of available resources, to find a solution. The licensee must contact Wisext
and provide the information requested to attempt to resolve the technical
issue.
If, despite
Wisext’s efforts, the licensee cannot make the tools operate, the licensee may
terminate the subscription and request a refund for the unused portion of the
subscription period, in accordance with the conditions set out in the “Refund
Policy” section of this Agreement.
Support for
usage is provided through the SketchUp forum: https://forums.sketchup.com/ . The licensee may post questions there, and
Wisext or other users may provide answers. The community will assist as much as
possible, but no guarantee is made regarding response times or resolution of
issues.
Unless
expressly stated in the offer, no subscription entitles the licensee to
personal support for tool usage beyond operability-related questions.
Personalized support beyond standard operability assistance is not
included in regular subscriptions. Such support may be discussed as part of a
custom service agreement, which requires the establishment of a separate
contract specifying scope, pricing, and terms. Wisext reserves the right to
determine availability and conditions for these custom services.
Wisext can
modify any functionality of the tool at any time.
Unless
expressly authorized by the author, Licensee may not modify or make works
derivative of the Wisext Tools and their associated data.
Licensee
shall not decrypt, reverse engineer, decompile or disassemble the Wisext Tools.
Wisext does
not guarantee any interoperability of its tools with other applications.
Licensee
must receive from Wisext the authorization to use Wisext Tools application
programming interface, possibly for a fee.
You may not
rent, lease, loan, sell, onsell, request donations or create derivative works
based upon the Wisext Tools or any part thereof.
Wisext
offers an Enterprise License that allows the activation of up to five (5)
workstations under a single subscription. This license is intended exclusively
for use within the same legal entity (the company purchasing the license).
The
Enterprise License is granted to one company and may not be shared with other
companies, subsidiaries, or unrelated entities.
All
activated workstations must belong to employees or contractors working for the
licensee company.
Redistribution,
resale, or sublicensing of the Enterprise License is strictly prohibited.
Wisext
reserves the right to audit compliance and may suspend or terminate the license
in case of misuse or violation of these terms.
The Wisext
Tools is provided "as is" and any expressed or implied warranties,
including, but not limited to, the implied warranties of merchantability and
fitness for a particular purpose are disclaimed. In no event shall the regents
or contributors be liable for any direct, indirect, incidental, special,
exemplary, or consequential damages (including, but not limited to, procurement
of substitute goods or services; loss of use, data, or profits; or business
interruption) however caused and on any theory of liability, whether in
contract, strict liability, or tort (including negligence or otherwise) arising
in any way out of the use of this Wisext Tools, even if advised of the
possibility of such damage. The entire risk of using the Wisext Tools is
assumed by you.
Wisext
shall not be liable for any loss of use, lost data, failure of security
mechanisms, interruption of business, or any indirect, special, incidental, or
consequential damages of any kind (including lost profits or data), regardless
of the form of action, whether in contract, tort (including negligence), strict
liability or otherwise, even if informed of the possibility of such damages in
advance.
Notwithstanding
any other provision of this agreement, Wisext’s entire liability to you under
this agreement shall not exceed the amount actually paid by you to Wisext under
this agreement.
The
software is not fault tolerant and is not designed, manufactured or intended
for use in life support, medical, emergency, mission critical or other strict
liability or hazardous activities ("high risk activities"). Wisext
specifically disclaims any express or implied warranty of fitness for high risk
activities. you represent and warrant that you will not use the software (or
permit it to be used) for high risk activities and agree that Wisext will have
no liability for use of the software in high risk activities. you agree to
indemnify and hold harmless Wisext for any damages, liabilities or other losses
resulting from such use.
Wisext
reserves the right, in its sole discretion, to change the terms of this
agreement. Wisext shall inform Licensees of any such substantial change.
IV
Subscription terms
The Wisext
Tools are licensed, not sold.
The user
account allows users to securely manage their subscription and licences granted
for Wisext tools.
Each
account is associated with an individual or a company. The person or entity
that registers the account is considered the account owner. If the account is
created for a company, the designated manager is responsible for managing
access and permissions.
You are
responsible for maintaining the confidentiality of your login credentials,
including your password. Wisext shall not be liable for any unauthorized access
resulting from your failure to secure your account information.
You agree
to notify Wisext immediately if you suspect any unauthorized use of your
account.
If you need
to reassign account ownership or change the designated manager, you must
contact Wisext and provide the necessary verification details. Wisext reserves
the right to request proof of identity or company authorization before making
changes.
You must
ensure that all information provided in your account (including name, email,
billing details) is accurate and up to date. Incorrect or outdated information
may result in suspension or inability to deliver services.
A part of
the Wisext Tools is licensed at no charge to end users pursuant to the Wisext
terms and conditions, although subscription and activation could be required.
Obtaining
the free version may be conditional upon the user providing non-monetary
support, such as following the social media page(s). If the user ceases to
provide this support, Wisext may withdraw the right to use the free version.
The extent
of the free version can be reduced by Wisext at any time. Wisext reserves the
right to modify, limit, or discontinue the free version and any associated
benefits at its sole discretion, without prior notice. End users acknowledge
that they have no vested rights in the free version or its features, except as
required by applicable privacy and data protection laws.
Wisext
reserves the right to charge for any or all its software(s). The user will be
informed through the website www.wisext.com or when using the software. The
user may refuse to pay for future services offered but will no longer have
access to the tools available through a paid subscription.
Wisext may offer
a trial period for paid subscriptions, allowing customers to evaluate the full
functionality of the tools before committing to payment. The duration of the
trial period will be clearly indicated at the time of subscription. During the
trial period, no charges will be applied. At the end of the trial period, the
subscription will automatically convert to a paid plan unless canceled before
the trial expires.
The
subscription purchase is made through the Wisext website or any authorized
platform. By completing the payment process, you agree to the Wisext Terms and
Conditions and the applicable pricing displayed at the time of purchase.
All
payments must be made in advance for the selected subscription period.
Prices are
displayed in the currency indicated on the purchase page and are shown
exclusive of applicable taxes. Taxes and any additional charges will be
calculated and displayed by the Merchant of Record during checkout.
Wisext works
with a Merchant of Record (MoR) to process payments and comply with tax and
invoicing obligations. You agree to comply with the terms and conditions of the
payment processor or MoR.
Access to
the paid tools is granted after successful payment confirmation. You will
receive an email with instructions to activate your license. If the license
does not activate, please contact Wisext.
The
Merchant of Record will issue an invoice for each subscription purchase,
delivered electronically to the email address provided during the order
process. All invoices comply with applicable tax regulations, including VAT requirements,
where relevant.
The
customer must provide accurate and complete information necessary for correct
invoicing, including billing address, VAT number, and company registration
number if applicable. Wisext shall not be liable for delays or inability to
issue invoices caused by incorrect or incomplete information provided by the
customer.
The
subscription becomes effective on the date of payment confirmation and remains
valid for the subscription period selected at the time of purchase (e.g., one
month, one year), as indicated on the order page and invoice. The start date is
the date on which Wisext or its payment processor validates the payment. Upon
expiration of this period, access to the licensed tools will automatically
terminate unless the subscription is renewed in accordance with the conditions
set forth in the “Automatic Renewal” section.
If
automatic renewal is offered and selected, the subscription will renew at the
end of the current term at the then-current price. You may disable automatic
renewal at any time through your Merchant of Record account settings.
Wisext
reserves the right to modify subscription prices and the pricing structure for
future billing periods. This may include changes to the amount charged, the
introduction of new tiers, or adjustments to the features included in each
plan.
Any change
will apply only to subsequent renewals and will not affect the current
subscription term.

For
monthly subscriptions, you will be notified of any price or structure change at
least 7 days before the renewal date.
·
For
longer subscription periods, notice will be given at least 30 days before
renewal.
You may
cancel the renewal if you do not agree to the new price or pricing structure.
All changes will comply with applicable consumer protection laws and will not
affect your statutory rights.
If payment
cannot be processed, Wisext reserves the right to suspend or terminate access
to the tools until payment is completed.
The prices
for services, products, and subscriptions displayed in our website are
exclusive of sales tax and VAT, unless explicitly stated otherwise.
Where our
products are taxable, the Merchant of Record will collect and remit consumption
taxes (such as VAT or sales tax) to the appropriate government authorities at
the local, state, or federal levels.
If your
billing address is in a jurisdiction where such taxes apply, you may see an
additional line item on your invoice for sales tax or VAT.
The
applicable tax rate and rules are determined by each jurisdiction and may vary
depending on whether you are using our products for business, commercial, or
personal purposes. As regulations change, its Merchant of Record will update
tax eligibility and compliance per jurisdiction.
Wisext may
charge for certain services and under certain conditions for customers in the
European Community, in which case Wisext will issue an invoice and manage the
taxes.
Wisext
offers a trial period, as well as free usage with certain limitations outside
of the trial period. This allows you to test all the features of Wisext Tools
on your workstation with the version of SketchUp installed on it before
subscribing to a plan. The free trial period is designed to allow you to test
all features of Wisext Tools before purchasing. By subscribing to a paid plan
after the trial, you acknowledge that you had sufficient opportunity to
evaluate the product. Therefore, once the trial ends and payment is processed,
refunds are generally not provided, except in cases of major operability issues
as defined in section V.3.
Once a
subscription is purchased, no refunds will be issued withing a given period,
regardless of the plan or duration.
By
completing your purchase, you acknowledge that you had the opportunity to
evaluate the product during the free trial period.
A refund
may be requested during the subscription period if a Major Operability Issue
occurs, meaning the tools cannot launch or run on the licensee’s computer(s),
resulting in complete inability to use the core features, and Wisext is unable
to provide a solution after reasonable efforts.

You
must first contact Wisext and provide all requested technical information to
allow troubleshooting.
·
You
must allow Wisext the opportunity to resolve the issue.
Non-operability
on a computer configuration that does not meet the requirements of III.4 Computer requirements does not constitute a major
operability issue. This is the case, among other things, for:
·
Non-operability
with versions of SketchUp prior to the current version.
·
Non-operability
on a brand-new version of SketchUp within three months of its official release.
The
following are also not considered major operability issues:
·
Incompatibility
with beta versions of SketchUp.
·
Unavailability
of certain features on Mac.
·
No
direct control of Microsoft Excel via SketchUp.
·
Issues
unrelated to operability, such as dissatisfaction with certain features.
In case of
major operability issue and if no technical solution is possible, Wisext will
seek a commercially balanced solution for both parties, depending on the
situation. In this case Wisext can propose a refund. The refund is issued for
the unused portion of your subscription period, calculated from the date you
reported the issue to Wisext.
The
decision to grant a refund automatically terminates the license and all access
to the tools linked to the subscription.
This
privacy policy will explain how Wisext uses the personal data we collect from
you when you use our website or the applications developed by Wisext.
Wisext
protects the privacy and the personal information of the users. Wisext does not
collect user information other than as made explicit to and have consented by
the user, or as per below. The personal information we collect is stored in a
secure and encrypted form. The user has the right to receive a copy of their
current information, or have it removed from Wisext’s records.
Wisext
complies with the European Union’s General Data Protection Regulation, GDPR.
Wisext
collects the following personal data if you register to the site: name, email
address and country.
Wisext
collects additional data for legal invoicing data in case of an activation of
paid license like company identification, full address, telephone number, vat
number.
You can
access to your data by logging in on our website www.wisext.com and reading your profile. You can
modify the data by editing your profile. You can delete all your personal data
held by Wisext by deleting your account, except for the invoicing data
necessary for the legal establishment of the accounting.

Besides the
registration data, the Wisext internet site uses cookies (see VI.8 Cookies).
The user of
Wisext Tools (software) agrees that the software may exchange technical data
with the Wisext website to manage operational licenses, assist in the
improvement of Wisext tools, and establish anonymous usage statistics.
We collect
data and process data when you:
- Register to the site.
- Use or view our website via your browser’s
cookies (see § VI.8).
- Use the Wisext Tools (software).
Wisext
collects your data so that Wisext can:
- Establish anonymous statistical data on the
frequentation of the Wisext website.
- Establish anonymous statistical data on the use
of Wisext Tools.
- Communicate with you (see § VI.5).
Wisext
communicates with registered members by email or through the Wisext software
for the following purposes:
- Account-related notifications: To inform you that your registration
needs activation or has been successfully completed.
- Transactional communications: To send you invoices, payment
confirmations, or other information related to your purchases.
- Customer support: To assist you in using Wisext tools and provide help when
requested. This can be done by email or via the communication tools in the
software.
- Essential account and license information: To notify you of critical
details regarding your account status, license validity, or changes that
may affect your access to Wisext tools.
- Service updates and activities: To inform you about Wisext
activities, new features, or updates, if you have agreed to receive such
communications in your account settings.
Wisext
securely stores your data on servers in Europe (EC). Currently the operator is
OVH, located in France.
Data
related to transactions with the Merchant of Record is not managed by Wisext.
The Merchant of Record complies with the rules in force concerning their
customers.
Wisext
would like to make sure you are fully aware of all your data protection rights.
Every user is entitled to the following:
- The right to access: You have the right to request
Wisext for copies of your personal data.
- The right to rectification: You have the right to request
that Wisext correct any information you believe is inaccurate. You also
have the right to request Wisext to complete the information you believe
is incomplete.
- The right to erasure: You have the right to request
that Wisext erase your personal data, under certain conditions.
“Certain
conditions” refers
to situations where Wisext is legally required to retain some of your personal
data to comply with obligations imposed by applicable laws and regulations.
This includes, but is not limited to:
- Accounting and financial
record-keeping requirements
- Tax obligations
- Regulatory compliance and
audits
- Other mandatory retention
periods required by competent authorities
In these
cases, Wisext will only retain the minimum necessary data for the required
duration and will ensure it is securely stored.
